Terms of Service

These Terms of Service ("Terms") govern your access to and use of the APIPoints platform, API, and related services (collectively, the "Service") operated by Loadcircle Ltd ("we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using the APIPoints API, you confirm that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.

2. Account Registration

You must provide accurate, complete information when creating an account. You are responsible for maintaining the confidentiality of your credentials and API keys. You are responsible for all activity that occurs under your account.

3. API Usage & Credits

APIPoints provides a credit-based system for API access:

• New accounts receive 5,000 free credits.
• Each API request to intelligence endpoints consumes 1 credit.
• Paid plans receive additional credits as specified at the time of purchase.
• Credits are non-transferable and have no cash value.
• Free plan rate limit: 10 requests per minute. Higher limits available on paid plans.

4. Subscriptions & Payments

Paid subscriptions are processed via Stripe. By subscribing, you authorize recurring charges to your payment method. Subscriptions auto-renew unless cancelled before the billing period ends.

• You may cancel your subscription at any time from your dashboard.
• Cancellation takes effect at the end of the current billing period.
• Refunds are provided on a case-by-case basis within 14 days of charge.
• Prices are in USD and exclude applicable taxes.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to circumvent rate limits or credit system
• Share API keys with unauthorized parties
• Resell, redistribute, or create derivative products from API data without attribution
• Use automated tools to excessively query the API beyond your plan's rate limits
• Interfere with or disrupt the Service or its infrastructure

6. Data Accuracy

APIPoints provides LLM pricing, benchmark, and deprecation data on an "as-is" basis. While we strive for accuracy, we do not guarantee that data is always current or error-free. You should independently verify critical pricing or technical decisions. APIPoints is not affiliated with any LLM provider.

7. Intellectual Property

The Service, including its design, code, API, and documentation, is owned by Loadcircle Ltd and protected by intellectual property laws. You receive a limited, non-exclusive, revocable license to use the Service in accordance with these Terms.

8. Service Availability

We aim for 99.9% uptime but do not guarantee uninterrupted availability. We may perform maintenance, updates, or modifications without prior notice. We are not liable for downtime or service interruptions.

9. Limitation of Liability

To the maximum extent permitted by law, Loadcircle Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising from your use of the Service. Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

10. Termination

We may suspend or terminate your access to the Service if you violate these Terms, engage in abusive behavior, or for any reason with 30 days' notice. Upon termination, your right to use the Service ceases immediately.

11. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or a notice on our website at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance.

12. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be resolved in the courts of England and Wales.
